Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and PBS Data Solutions, LLC ("Company", "we", "us", or "our") concerning your access to and use of the Study Data Hub platform ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Subscription Plans: The Service offers subscription-based access.

Billing: By subscribing, you authorize us to charge your payment method on a recurring basis.

Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial billing periods.

Price Changes: We reserve the right to modify subscription prices. We will provide notice before any price increase takes effect for existing subscribers.

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights or other rights of any third party
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense access to the Service

The Service and its original content, features, and functionality are owned by PBS Data Solutions, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data you upload to the Service. By uploading data, you grant us a limited license to store, process, and display that data solely for the purpose of providing the Service to you.

We implement reasonable security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your data, we cannot guarantee its absolute security.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We make no warranties about the accuracy, reliability, or completeness of any content or data provided through the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PBS DATA SOLUTIONS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any unauthorized access, use, or alteration of your data
• Any other matter relating to the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless PBS Data Solutions, LLC and its officers, directors, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your data or content uploaded to the Service

These Terms shall be governed by and construed in accordance with the laws of the state of North Carolina, United States of America, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be submitted to confidential arbitration in North Carolina, United States of America, except that, to the extent you have in any manner violated or threatened to violate PBS Data Solutions, LLCs intellectual property rights, PBS Data Solutions, LLC may seek injunctive or other appropriate relief in any state or federal court in the state of North Carolina, United States of America, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrators award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PBS Data Solutions, LLC regarding the Service and supersede all prior agreements and understandings.
